Red Line Internet Services LLC - Terms of Service
Welcome to Red Line Internet Services LLC (“Red Line,” “we,” “our,” or “us”). By subscribing to or using our internet connectivity and related services (collectively, the “Services”), you (“Customer” or “you”) agree to be bound by these Terms of Service (“Terms”).
If you do not agree with these Terms, you should discontinue use of the Services.
1. Acceptance of Terms
1.1 Binding Agreement
These Terms, together with our Acceptable Use Policy (“AUP”), Privacy Policy, any applicable Service Level Agreement (“SLA”), Master Service Agreement (“MSA”), subscriber agreement, service order, or other written agreement applicable to your Services, collectively govern your relationship with Red Line Internet Services LLC.
1.2 Hierarchy of Agreements
If there is a conflict between applicable agreements, the following order of precedence will apply unless otherwise stated in writing:

Acceptable Use Policy (AUP)
An MSA, SLA, subscriber agreement, or other written agreement may contain terms that apply specifically to certain customers or Services.
1.3 Changes to These Terms
Red Line Internet Services LLC may update or modify these Terms from time to time.
If material changes are made, we may provide notice by posting the revised Terms on our website, sending notice electronically, or using another reasonable method.
Continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
2. Description of Services
2.1 Provision of Services
Red Line Internet Services LLC provides broadband internet connectivity and related technology services to residential and business customers.
Available Services, speeds, pricing, service levels, equipment, and other features may vary by location and may be further described in a subscriber agreement, service order, SLA, or MSA.
2.2 Service Availability
Red Line strives to provide dependable network availability. However, uninterrupted or error-free Service cannot be guaranteed.
Service interruptions may occur because of scheduled or emergency maintenance, equipment failure, network congestion, weather, power outages, interference, third-party network failures, governmental actions, emergencies, or other circumstances beyond our reasonable control.
2.3 Speed and Performance
Advertised speeds represent maximum or “up to” service capabilities and are not guaranteed unless expressly stated otherwise in a written SLA.
Actual speeds and performance may vary based on factors including network conditions, customer equipment, Wi-Fi performance, device limitations, network congestion, environmental conditions, interference, the performance of third-party networks or websites, and other factors outside Red Line’s control.
2.4 Equipment
Unless otherwise stated in writing, customers are responsible for obtaining and maintaining compatible customer-owned equipment necessary to use the Services, including routers, Wi-Fi equipment, computers, televisions, phones, and other connected devices.
Equipment leased, loaned, or otherwise provided by Red Line Internet Services LLC remains the property of Red Line unless it has specifically been sold to the Customer.
2.5 Customer Equipment and Service Eligibility
Red Line Internet Services LLC is not responsible for problems caused by customer-owned computers, routers, devices, operating systems, software, inside wiring, configuration changes, malware, or other equipment that Red Line does not own or control.
Red Line will make reasonable efforts to assist customers with connectivity-related issues; however, we reserve the right to determine whether an issue is related to Red Line’s network or to customer-owned equipment.
Red Line also reserves the right to determine whether a location qualifies for Service and whether Service can continue to be reliably provided at a particular location.
3. Account Registration and Customer Responsibilities
3.1 Account Information
Customers may be required to establish an account to obtain or use Services.
You agree to provide accurate, complete, and current account information and to promptly notify Red Line of material changes.
You are responsible for protecting your account credentials and for activity occurring through your account.
3.2 Customer Responsibilities
Customers agree to:

Comply with applicable local, state, and federal laws and regulations.

Comply with these Terms and the Red Line Acceptable Use Policy.

Maintain reasonable security for customer-owned devices and networks.

Use the Services in a manner that does not interfere with Red Line’s network or other customers.

Provide reasonable access to Red Line-owned equipment when repair, maintenance, replacement, or removal is necessary.
3.3 Resale and Commercial Redistribution
Customers may not resell or commercially redistribute Red Line Internet Services to third parties without prior written authorization or a formal reseller agreement from Red Line Internet Services LLC.
Ordinary use of a residential connection by members of the household and guests is not considered resale.
4. Acceptable Use and Prohibited Activities
4.1 Acceptable Use Policy
Red Line’s Acceptable Use Policy is incorporated into these Terms by reference.
Customers must comply with the AUP while using Red Line Internet Services.
4.2 Prohibited Activities
Customers may not use Red Line Services to:

Violate any applicable law or regulation.

Facilitate or promote illegal activity.

Attempt unauthorized access to accounts, computers, systems, or networks.

Conduct or facilitate hacking, denial-of-service attacks, distributed denial-of-service attacks, or similar malicious activity.

Send or distribute malware, viruses, ransomware, spyware, or other harmful software.

Engage in phishing, fraud, spam, or deceptive activity.

Harass, threaten, stalk, or unlawfully intimidate others.
-
Infringe copyrights, trademarks, intellectual property rights, or other legal rights belonging to third parties.

Use the network in a manner that intentionally or unreasonably interferes with network operation or the ability of other customers to use the Services.
4.3 Network Management and Enforcement
Red Line reserves the right, to the extent permitted by law, to monitor network performance, usage patterns, security events, and other technical information reasonably necessary to operate and protect the network.
Red Line may investigate suspected violations of these Terms or the AUP and may cooperate with lawful requests from government or law-enforcement authorities.
Red Line may suspend or terminate accounts that violate these Terms, the AUP, applicable law, or the rights of Red Line or other customers.
5. Billing and Payment
5.1 Service Activation and Billing
Billing begins when Service is activated, installed, or otherwise made available to the Customer, unless another billing date has been agreed to in writing.
Customers are financially responsible for applicable service charges beginning on the activation date.
5.2 Service Fees and Charges
Customers are responsible for applicable monthly service fees and any additional authorized charges, equipment charges, installation charges, taxes, governmental fees, regulatory charges, or other amounts applicable to their account.
Monthly Service charges continue regardless of the amount of data used because Red Line continues to maintain the Customer’s connection and associated network resources.
Additional Services, upgrades, equipment, or other charges may be non-refundable after they have been provided or activated unless otherwise required by law or agreed to in writing.
5.3 Invoices
Invoices are generally provided electronically to the email address associated with the Customer’s account.
Customers requesting a paper invoice may be subject to an additional charge where permitted.
Business customers may have different invoicing requirements when established in a written agreement.
5.4 Monthly Billing Cycle
Red Line Internet Services LLC generally issues monthly invoices on or around the first day of each month.
Payment is due by the date shown on the invoice. Unless otherwise stated on the Customer’s invoice or in a separate written agreement, payment is due by the 25th of the month.
Payments received are generally applied to the oldest outstanding balance first.
Customers are responsible for reviewing their invoices and notifying Red Line promptly of billing questions or discrepancies.
5.5 Late Payments, Returned Payments, and Suspension
Accounts that are not paid by the applicable due date may be considered past due and may be subject to late fees.
If a check, ACH transaction, electronic payment, or other payment is returned, declined, reversed, or denied by a financial institution, Red Line may assess a returned-payment fee of $25.00.
Accounts that remain unpaid may be suspended or terminated in accordance with Red Line’s billing policies.
Service may remain suspended until the outstanding account balance, including applicable late fees and other charges, has been paid.
Accounts remaining unpaid for more than 30 days may be subject to Service disconnection and equipment-removal procedures.
6. Term, Renewal, Cancellation, and Termination
6.1 Term and Renewal
Unless another term is specified in a subscriber agreement, SLA, MSA, or other written agreement, residential Service is provided on a month-to-month basis.
Services may automatically continue from month to month at the then-current applicable rate until canceled or terminated.
6.2 Cancellation by Customer
Customers may cancel Service in accordance with the cancellation procedures applicable to their account or contained in their subscriber agreement, SLA, MSA, or other applicable agreement.
Customers remain responsible for charges incurred through the effective cancellation date and for returning or providing reasonable access for removal of Red Line-owned equipment.
6.3 Suspension or Termination by Red Line
Red Line may suspend or terminate Services if a Customer:

Fails to pay amounts when due.

Violates these Terms or the AUP.

Engages in unlawful activity using the Services.

Causes or threatens damage to Red Line’s network, equipment, employees, contractors, or other customers.

Uses the Services in a manner that materially interferes with network operations.

Fails to provide reasonable access to Red Line-owned equipment when necessary.
Red Line may also discontinue Service for business, technical, operational, safety, or other legitimate reasons upon reasonable notice when circumstances permit.
6.4 Equipment Following Cancellation or Termination
Upon cancellation or termination, customers must return Red Line-owned equipment or provide reasonable access for Red Line or its authorized representatives to retrieve installed equipment.
This may include equipment installed on or around a home or business, including exterior-mounted network equipment.
Customers may be responsible for the replacement cost of Red Line-owned equipment that is lost, intentionally damaged, destroyed, or not returned when required.
7. Privacy and Data Protection
7.1 Privacy Policy
Red Line’s Privacy Policy explains how personal information may be collected, used, maintained, and protected.
By using the Services, customers acknowledge the practices described in the Privacy Policy, as amended from time to time.
8. Intellectual Property
8.1 Ownership
All intellectual property rights associated with Red Line’s website, Services, branding, systems, software, documentation, and related materials remain the property of Red Line Internet Services LLC or their respective licensors unless otherwise stated.
8.2 Software Licenses
Software provided in connection with the Services is licensed and not sold unless expressly stated otherwise.
Customers may not copy, modify, reverse engineer, distribute, resell, or otherwise misuse licensed software except where expressly permitted by the applicable license or by law.
9. Disclaimer of Warranties
9.1 As-Is and As-Available Service
Except where expressly provided in a written SLA or where prohibited by law, Services provided by Red Line Internet Services LLC are provided on an “AS IS” and “AS AVAILABLE” basis.
To the fullest extent permitted by law, Red Line disclaims express or implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
9.2 Technical Support Limitations
Red Line technical support is generally limited to issues involving Red Line’s network, Internet connectivity, Red Line-provided equipment, and basic device or Wi-Fi connectivity.
Unless a Customer has purchased additional support services, Red Line is not responsible for troubleshooting or repairing third-party applications, operating systems, computers, smart devices, customer-owned routers, internal networks, or other third-party equipment.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Red Line Internet Services LLC and its owners, officers, employees, contractors, affiliates, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages resulting from or related to the Services.
This includes damages arising from Service interruptions, loss of Internet access, equipment failure, software problems, third-party activity, customer activity, loss of data, loss of business, lost profits, or inability to use the Services.
To the fullest extent permitted by law, Red Line Internet Services LLC’s total liability for direct damages arising from or related to the Services will not exceed the amount paid by the Customer to Red Line for the affected Service during the one (1) month immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
11. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Red Line Internet Services LLC and its affiliates, owners, officers, employees, contractors, and agents from third-party claims, liabilities, damages, losses, costs, and reasonable attorneys’ fees arising from or related to:

Your violation of these Terms, the AUP, or another applicable agreement.

Your violation of applicable law.

Your infringement of the rights of a third party.

Unlawful or improper use of the Services through your account.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles.
12.2 Good-Faith Resolution
Before beginning formal legal proceedings, the parties should make a reasonable good-faith effort to resolve the dispute directly.
12.3 Venue and Jurisdiction
Unless otherwise required by applicable law or established by another controlling written agreement, legal proceedings relating to these Terms or the Services shall be brought in a court of competent jurisdiction serving Washington County, Utah.
The parties consent to the jurisdiction and venue of those courts to the extent permitted by law.
13. Miscellaneous
13.1 Force Majeure
Red Line Internet Services LLC is not responsible for delays, interruptions, or failures caused by circumstances beyond its reasonable control.
These circumstances may include severe weather, natural disasters, fires, flooding, earthquakes, power failures, utility failures, third-party network outages, equipment shortages, labor disputes, war, terrorism, civil unrest, governmental actions, emergencies, or similar events.
13.2 Assignment
Customers may not assign or transfer their rights or obligations under these Terms without prior written consent from Red Line Internet Services LLC.
Red Line may assign its rights or obligations as part of a merger, acquisition, sale, restructuring, financing transaction, or other legitimate business transaction, subject to applicable law.
13.3 Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.
13.4 No Waiver
Failure by Red Line Internet Services LLC to enforce any provision of these Terms does not waive Red Line’s right to enforce that provision or any other provision in the future.
13.5 Entire Agreement
These Terms, together with the applicable AUP, Privacy Policy, subscriber agreement, SLA, MSA, service order, and other applicable written agreements, constitute the agreement governing the Services provided to the Customer.
Where conflicting provisions exist, the controlling agreement will be determined according to Section 1.2 of these Terms.
